These Terms of Service ("Terms") govern your access to and use of the Global Networking client portal at globalnetworking.ai/client and any subdomains, applications, or interfaces made available to you under your account ("Portal"). By clicking "I accept" you agree to be bound by these Terms on your own behalf and on behalf of any organization for which you are accessing the Portal.
If you do not accept, exit the Portal. Continued use after acceptance constitutes ongoing agreement.
Everything you see, fetch, generate, or download through the Portal is Confidential Information of Global Networking and its clients. This includes, without limitation: evaluator outputs, scoring rubrics, dissent reasoning, mapping overlays, parcel notes, calibration anchors, deal-breaker lists, white papers, briefs, memos, the methodology by which scores are produced, and any data or materials provided by other clients. You will not disclose, publish, forward, paraphrase for external publication, or otherwise share Confidential Information with any party outside your engaged organization without prior written authorization from Global Networking.
The obligation in this Section survives termination of your account.
The Portal — including all software, source code, infrastructure, evaluator pipelines, scoring rubrics, calibration logic, calibration anchors and accumulated firm memory, prompt engineering, mapping subdomains, models in their fine-tuned configuration, white papers, internal methodology, and the principal's reasoning patterns embedded in any of the above — is the sole and exclusive property of Global Networking. All right, title, and interest, including all intellectual property rights, remain with Global Networking. You acquire no ownership interest in the Portal or in the means by which deliverables are produced by virtue of access.
You may not copy, reproduce, mirror, scrape, distribute, license, sublicense, sell, or create derivative works of the Portal or any component of it.
Distinct from the means of production above, work product produced by Global Networking specifically for an engaged client — including written briefs, memos, evaluator reports, route-feasibility findings, diligence packs, mapping overlays, and similar materials prepared on that client's behalf for that client's transactions — is the property of the client to whom it was delivered, upon final delivery and full payment of fees owed.
Clients may use such work product internally and in materials prepared for their own investment committees, lenders, counterparties, and regulators, without further authorization from Global Networking.
For the avoidance of doubt: ownership of a deliverable does not transfer ownership of the methodology, software, calibration, or reasoning by which it was produced. The deliverable is yours; the means of producing the next one is not. Global Networking retains all rights to use, refine, and apply its methodology in producing future deliverables for the same client or any other client, including by anonymizing and aggregating learnings into the firm's accumulated calibration.
Subject to your continued compliance with these Terms, Global Networking grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Portal solely for the internal evaluation of infrastructure assets, sites, and transactions for which your organization has a bona fide commercial interest. The license does not extend to use on behalf of third parties, resale, white-labeling, benchmarking, or any commercial product or service that competes with or replicates Global Networking's offerings.
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. You will notify Global Networking immediately of any unauthorized access. Credentials are not transferable. Accounts may not be shared.
If you grant other members of your domain access by virtue of the Portal's domain-pooling feature, you are responsible for ensuring those members are bound by the same confidentiality and acceptable-use obligations as you are.
You will not, and will not attempt to:
(a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, prompts, or rubric weights of the Portal;
(b) probe, scan, or test the vulnerability of the Portal, or breach any security or authentication measures;
(c) access the Portal by any means other than the interfaces and instructions provided;
(d) automate, scrape, or otherwise extract data from the Portal at volumes or rates beyond ordinary human use;
(e) use the Portal to evaluate, score, or analyze sites on behalf of any party other than your organization, or for the benefit of any competitor of Global Networking;
(f) submit content that is unlawful, infringing, defamatory, or obtained without authorization from its rightful owner;
(g) interfere with, disrupt, or impair the operation of the Portal or the Portal's service to other users.
Outputs generated by the evaluator (composite scores, recommendation bands, dissent notes, deal breakers, next steps, mapping overlays, and supporting prose) are opinions delivered by Global Networking based on the inputs you provide and the firm's calibrated methodology. They are not investment advice, legal advice, engineering certification, environmental assessment, or any other regulated professional service. Decisions made in reliance on evaluator output remain solely your own.
You may use evaluator output internally and in materials prepared for your own investment committee, lender, or counterparty, provided that you do not modify, edit, or excerpt outputs in a manner that materially changes their substance, and provided that you do not represent the output as your own analysis without attribution to Global Networking.
Global Networking retains records of evaluator runs, mapping interactions, document uploads, and other Portal activity in order to operate, secure, improve, and bill for the service. Retained records are stored under access controls and are not sold or licensed to third parties. By using the Portal you consent to this retention and to Global Networking's use of operational data to improve the Portal's calibration and methodology, including in the aggregate across clients.
If you have a contractual or regulatory data-handling obligation that requires more restrictive treatment of your data, contact Global Networking before submitting that data to the Portal.
The Portal incorporates third-party services (including but not limited to model providers, mapping services, and storage providers). Your use of the Portal is also subject to the applicable terms of those providers as they apply to Global Networking's use of them on your behalf. Global Networking is not responsible for outages, degradations, or content originating from third-party services.
Global Networking may suspend or terminate your access at any time, with or without cause, with or without notice, including for violation of these Terms, for non-payment, or where suspension is necessary to protect the Portal, its other users, or the firm. Upon termination, your right to access the Portal ceases; your confidentiality and IP obligations under Sections 1, 2, and 6 survive.
You may terminate your account at any time by written notice to Global Networking.
THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF EVALUATOR OUTPUT. Global Networking does not warrant that the Portal will be uninterrupted, error-free, or that any particular result will be achieved through its use.
To the fullest extent permitted by law, Global Networking's aggregate liability arising out of or related to your use of the Portal will not exceed the fees you paid to Global Networking for Portal access in the twelve months preceding the event giving rise to the claim, or one thousand U.S. dollars (USD $1,000), whichever is greater. In no event will Global Networking be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
You will indemnify, defend, and hold harmless Global Networking and its principals, employees, and affiliates from and against any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of (i) your breach of these Terms, (ii) your misuse of the Portal, or (iii) your violation of any law or third-party right in connection with your use of the Portal.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Portal will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Global Networking may update these Terms from time to time. Material changes will be communicated by version increment and a re-acceptance gate at next sign-in. Your continued use of the Portal after a version change is contingent on accepting the updated Terms. Prior versions are retained internally for record.
By clicking "I accept" you confirm that:
(a) you have read these Terms in full,
(b) you have authority to bind any organization on whose behalf you are accessing the Portal,
(c) you understand that your acceptance is timestamped and recorded together with your account identifier and connection metadata, and
(d) you agree to be bound by all of the terms above.
